1. Who we are and what these Terms cover

informay.com (the "Platform") is operated by SURENDRA PRASAD GARIKIPATI ("Informay", "we", "us"). The Platform lets businesses create and publish a business page and lets visitors find businesses and contact them. These Terms of Use form a legal agreement between you and Informay. They apply to everyone who visits or uses the Platform, including business owners and visitors.

Informay is an intermediary under the Information Technology Act, 2000. Business pages, reviews and other content are created by users, not by us (apart from text you ask us to draft, see section 7).

2. Acceptance, eligibility and electronic agreement

• By using the Platform, or by ticking the box when you create a business page, you accept these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.
• You must be at least 18 years old and legally able to enter into a contract in India.
• If you act for a business, you confirm that you have the authority to bind that business to these Terms.
• This is an electronic contract. No physical or digital signature is needed. Your tick-box agreement, with the time, version and technical details we record, is evidence that you accepted.

3. Your account and verification

• We verify your email address and mobile number with one-time codes. Give us contact details that are yours, and keep your login and codes private. You are responsible for activity on your account.
• You may choose to verify your identity through DigiLocker. A "Verified Owner" mark means only that a person was verified through that process. It is not an endorsement of the business, its quality, licences or services.
• Tell us promptly if you think your account has been misused.

4. Business pages: authority, accuracy and conduct

When you create or edit a business page you promise that:

• you own the business or are properly authorised to list it, and you will not list a business, photo or name that belongs to someone else without permission;
• the information you give (name, category, address, timings, services, prices, contact details, photos, links and videos) is true, current and not misleading, and you will keep it updated;
• you hold and will follow every licence or registration the law requires for your business or activity (for example, real estate agents and promoters must follow RERA where it applies), and you will not claim any you do not have;
• your page and its content do not break any law and do not include illegal, fraudulent, counterfeit, hateful, sexually explicit, defamatory or deceptive material, or infringe anyone's rights.

Prices, offers and services shown on your page are your responsibility. Informay is not a party to any dealing between you and a customer.

5. Your content and the licence you give us

You keep ownership of the content you upload or enter (text, photos, logos, videos and links). You give Informay a free, non-exclusive, worldwide licence to host, store, display, reproduce, resize, format and translate that content, and to make it available on the Platform, in search engines, and when it is shared by link (for example on WhatsApp or social media), for as long as your page is live and for a reasonable period afterwards for backups and legal needs. You promise that you have the rights to give us this licence, including for photos and any YouTube videos you add.

6. Reviews and ratings

Users may post reviews and ratings. Reviews must be honest, accurate and based on personal experience. You must not post or arrange fake or paid reviews, or review your own business. Informay may moderate, edit or remove reviews that break these Terms or our community guidelines.

7. AI-drafted content

When you create a page we may draft your About Us text and service descriptions using AI, based on what you tell us. These drafts can contain mistakes. Please read them before you publish. You are responsible for the final content, you can edit it at any time, and we do not promise that AI text is accurate, complete or unique. Please do not enter confidential information or other people's personal data into the fields we use to draft text.

8. Messages we send you

• Service messages. By agreeing to these Terms when you create a page you agree that we may send you messages that are part of the service on WhatsApp, SMS and email, such as verification codes, your page link, customer enquiries, billing and account notices. You can ask us to stop service messages on a channel, but then we may not be able to run your page properly.
• Promotional messages. We send tips and offers only if you choose to receive them. You can withdraw at any time using the unsubscribe link, by replying STOP where offered, or by contacting us.
• WhatsApp and SMS are carried by third parties. Their terms and your operator's charges may apply.

9. Enquiries and customer details you receive

When a visitor contacts you through your page, we pass their details to you. From that point you are responsible for how you use them. Use them only to respond to the enquiry or provide what was asked for, follow data protection law, and do not send unsolicited bulk or promotional messages to them.

10. Plans, fees and payments

A basic business page is free. Paid plans, trial periods, prices, taxes (including GST), billing periods and renewal terms are shown on our pricing page and at the time you subscribe. Payments are processed on a secure payment page by our payment gateway, PayU; we do not store your card, UPI or bank credentials. We may change prices for the future with reasonable notice. Cancellation, refunds and how long they take are explained in our Cancellation and Refund Policy, which forms part of these Terms. Refunds are given only as that policy states, as stated at the time of purchase, or as the law requires.

11. Acceptable use

You agree not to: use the Platform unlawfully; impersonate a person or business; copy or scrape the Platform at scale without our written permission; send spam or malicious code; try to break, overload or bypass security; or help anyone else do any of this.

12. Analytics and tracking

Premium subscribers can see analytics such as visitor counts, engagement and click interactions. By using the Platform you agree that we collect analytics data, including IP addresses and interaction data, as described in the Privacy Policy.

13. Third-party content and services

Business pages may embed YouTube videos and Google Maps, and we use services from others such as WhatsApp and SMS providers, DigiLocker, PayU, Google and AI providers. Their own terms apply to those services. We are not responsible for third-party content or services.

14. Our rights in the Platform

The Platform, its design, software, name and logo belong to Informay or our licensors. These Terms do not give you any right to them except to use the Platform as intended.

15. Reporting content and complaints

If you believe any page, review or content is illegal, infringes your rights, is false, or breaks these Terms, report it to our Grievance Officer (details below) with a link to the content and the reason. We will acknowledge within 24 hours and aim to resolve within 15 days. We may remove or disable content, ask the owner for information, or suspend an account where needed, and we will act on lawful orders from courts and authorities. If you disagree with our decision you may reply to us for a review.

16. Suspension and ending your use

You can stop using the Platform and ask us to delete your account and page at any time through your dashboard or by contacting us. We may suspend or remove a page or account if you break these Terms, if we must by law, or if your use puts others or the Platform at risk. We will tell you when we reasonably can. Sections that by their nature should continue (such as licences already granted, payment dues, limits of liability and governing law) continue after your account ends.

17. Disclaimers and limits of liability

• The Platform is provided "as is" and "as available". We do not promise uninterrupted service, any number of customers or leads, or any search ranking.
• We do not check every listing and do not guarantee the accuracy, quality, safety or legality of any business or content. Please see our Disclaimer.
• To the extent the law allows, Informay is not liable for indirect or consequential loss or loss of profit, data or goodwill, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under Indian law.

18. Indemnity

You agree to compensate Informay for loss, damage and reasonable legal costs arising from a claim by a third party caused by content you provided or by your breach of these Terms or the law.

19. Governing law and disputes

These Terms are governed by the laws of India. We will first try to settle any dispute informally through our Grievance Officer. Subject to that, the courts at Hyderabad, Telangana have exclusive jurisdiction.

20. Changes to these Terms

We may update these Terms. The version and date at the top show the current text. For material changes we will notify you (for example by email, on the Platform, or by asking you to agree again). Continuing to use the Platform after the change takes effect means you accept it.

21. General

If any part of these Terms is found invalid, the rest continues. Not enforcing a right is not giving it up. You may not transfer your rights under these Terms without our consent. We are not liable for delay or failure caused by events beyond our reasonable control. These Terms, with the Privacy Policy and Disclaimer, are the whole agreement between you and us on this subject.
